01What this agreement covers

This End User License Agreement (“EULA”) is a legal agreement between you and EKC Studios, operated by Eastern KCrew, LLC (“we”, “us”), that governs your use of the Neonyx Idle software: the web application, the Android app (com.neonyxidle.app), and any update, patch, or content we provide for them (together, the “Software”). It is part of, and incorporated into, our Terms of Service, which govern your account and conduct. If anything here conflicts with the Terms of Service on account, conduct, virtual-item, purchase, or refund matters, the Terms of Service and our Refund Policy control; on the software licence itself, this EULA controls. By installing, accessing, or using the Software, you agree to this EULA.

02Licence grant

Subject to this EULA and our Terms of Service, we grant you a personal, limited, non-exclusive, non-transferable, revocable, royalty-free licence to download, install, and run the Software on devices you own or control, solely to play Neonyx Idle for your own non-commercial entertainment. This licence is not a sale. We and our licensors keep all right, title, and interest in the Software, and nothing here transfers any of it to you except the limited licence stated above.

03What you may not do

Except where the law gives you a right we cannot override, you agree not to:

• copy, modify, translate, or create derivative works of the Software;
• reverse engineer, decompile, or disassemble the Software, or otherwise try to derive its source code;
• rent, lease, lend, sell, redistribute, or sublicense the Software;
• remove, obscure, or alter any proprietary notice on the Software;
• extract assets (art, audio, text, or data files) from the Software for use outside the Game;
• use the Software to build a competing product or service;
• bypass or interfere with any technical limitation, security measure, or licence check in the Software.

Fair-play rules for the game itself, such as bots and exploits, are in our Terms of Service and Community Guidelines, not repeated here.

04Ownership and intellectual property

The Software, including its code, art, music, sound, text, characters, and the Neonyx Idle name and logo, is owned by us or our licensors and protected by copyright, trademark, and other laws. This EULA gives you a licence to use the Software, not any ownership interest in it. All rights not expressly granted to you are reserved.

05Third-party and open-source components

The Software includes third-party and open-source components under their own licences, separate from this one. Font licences are listed on our Legal Centre. Nothing here restricts rights those licences already give you in the components they cover.

06Updates

We may update the Software to fix bugs, add features, or change game balance, and an update may be required to keep playing. We do not guarantee that any given device will keep meeting the Software’s requirements as it is updated.

07Distribution through app stores

If you download the Software from Google Play or another app store, that store’s own terms also apply to your download, and in a conflict about the download or store account itself, the store’s terms control. This EULA is between you and us, not the store, and the store is not responsible for the Software or for supporting it. Items for use in the Game can be bought in the web version of the Game, which uses Stripe for payment, and in the Android app where it is available, which uses Google Play for payment, as described in the Purchases section of our Terms of Service. Refunds for them are covered by our Refund Policy.

08Disclaimer of warranty

To the fullest extent the law allows, the Software is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, secure, or error-free, or that any defect will be corrected. This section works together with, and does not narrow, the disclaimers in our Terms of Service.

09Limitation of liability

Our liability arising from this EULA is limited exactly as described in our Terms of Service’s Limitation of liability section, which applies to the Software as much as to the rest of the Game.

10Term and termination

This EULA is effective until you stop using the Software or it ends as described here. Your licence ends automatically if you break this EULA, and we may also suspend or end your access to the Software as described in our Terms of Service’s Suspension and termination section. On termination, you must stop using the Software and delete any copies you control. Sections that by their nature should survive termination, including ownership, restrictions on use, disclaimers, and limits of liability, will survive.

11Export and sanctions compliance

You may not use the Software if you are located in, or a resident of, a country or region subject to a comprehensive US trade embargo, or if you are on a US government restricted-party list. You are responsible for complying with any export, import, or sanctions laws that apply to you.

12Changes to this agreement

We may update this EULA the same way we update our Terms of Service: the date at the top of this page shows when it last changed, and a significant change will be announced in the Game or on our Discord before it takes effect.

13Governing law

This EULA is governed by the same law and dispute process as our Terms of Service’s Governing law and disputes section.
